Terms & Conditions
Welcome to Filing & Digital LLP. These Terms and Conditions govern your access to our website and use of our services, including Digital Marketing, Legal Solutions, and Franchise Distribution Services. Please read them carefully before engaging our services.
1. Acceptance of Terms
By accessing our website or engaging the services provided by Filing & Digital LLP, including Digital Marketing, Legal Solutions, and Franchise Distribution Services, you agree to be bound by these Terms and Conditions. If you do not agree with these terms, you must refrain from using our services.
2. Scope of Services
- Digital Marketing: Includes search engine optimization (SEO), social media management, content creation, and paid advertising management. Performance metrics are estimates, as third-party algorithms and market conditions may fluctuate.
- Legal Solutions: Encompasses contract drafting, compliance consulting, corporate registration, and intellectual property filings. Each engagement is governed by the specific Statement of Work (SOW) or service agreement executed between Filing & Digital LLP and the client.
- Franchise Distribution: Includes franchise brokerage, lead generation, network development, and agreement facilitation. Filing & Digital LLP acts as an intermediary and strategic advisor, helping brands connect with suitable franchise investors and business partners. Final franchise agreements remain strictly between the franchisor and franchisee.
3. Client Obligations
Clients must provide accurate, timely, and complete information necessary for the successful execution of services. Delays in providing required documents, materials, approvals, or feedback may result in adjustments to operational timelines and shall not constitute a breach of contract by Filing & Digital LLP.
4. Payment and Fee Structures
- Invoicing: Service fees, retainers, and commissions are outlined in individual Statements of Work, Service Level Agreements, or other written agreements between Filing & Digital LLP and the client.
- Payment Terms: Unless otherwise specified in writing, 60% of the total service fee is payable upon receipt of the initial invoice, and the remaining 40% must be paid before final delivery of the agreed services or deliverables.
- Late Payments: Any outstanding payment may result in the suspension of ongoing services until the outstanding balance is cleared. Any applicable late-payment charges must be specified in the relevant written agreement and comply with applicable law.
- Third-Party Costs: Advertising budgets, government filing fees, software licenses, and other third-party expenses will be billed separately from core service fees, as applicable.
5. Rectification and Changes
Clients may request modifications or corrections to ongoing work before its completion and final delivery. Once the agreed work has been completed and delivered, further changes will not be included unless separately agreed upon in writing by Filing & Digital LLP.
6. Intellectual Property Rights
- Client Materials: Clients retain ownership of all pre-existing trademarks, logos, business information, and proprietary data provided to Filing & Digital LLP.
- Work Product: Upon receipt of full payment, the client receives an exclusive license to use the final marketing materials and custom legal documents prepared specifically for them, subject to the applicable service agreement.
- Portfolio Rights: Filing & Digital LLP reserves the right to showcase non-confidential project outcomes in its portfolio or promotional materials unless otherwise restricted by a Non-Disclosure Agreement (NDA) or other written agreement.
7. Limitation of Liability and Disclaimers
No Guarantee of Results: Filing & Digital LLP strives to deliver professional services using industry best practices. However, we do not guarantee specific marketing returns on investment (ROI), revenue figures, business growth, franchise sales, or other commercial outcomes.
Results may depend on market conditions, third-party platforms, regulatory requirements, customer demand, and other factors beyond our reasonable control.
8. Confidentiality
Filing & Digital LLP and its clients agree to protect and maintain the confidentiality of proprietary business information, client records, trade secrets, and other confidential information disclosed during the course of business.
These confidentiality obligations shall continue for a period of two years following the termination of the applicable service agreement, subject to any longer period required by applicable law or a separate written agreement.
9. Termination
Either party may terminate a service agreement by providing 30 days’ written notice, unless otherwise specified in the applicable agreement.
Upon termination, the client remains responsible for payment of all work completed and non-refundable expenses incurred before the effective termination date.
If outstanding payments are not cleared, Filing & Digital LLP may place ongoing work and pending deliverables on hold, subject to the applicable agreement and law.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the applicable laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms and Conditions shall be subject to the jurisdiction of the competent courts as determined under applicable law, unless otherwise agreed in writing.
